Y PLACE grants you a revocable, non-exclusive, non-transferable, limited license to download, install and use the Application strictly under the terms of this Agreement.2. Restrictions
You agree not to, and you will not permit others to:
a) License, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose or otherwise commercially exploit the Application or make the Application available to any third party.3. Account & High-Value IP Security
You are solely responsible for maintaining the strict confidentiality of your account credentials and ensuring your network complies with industry security standards (e.g., TPN). Y PLACE shall not be held liable for any data breaches, leaks of unreleased intellectual property, or any other damages arising from unauthorized access on your end.4. Modifications to Application
Y PLACE reserves the right to modify, suspend or discontinue, temporarily or permanently, the Application or any service to which it connects, with or without notice and without liability to you.5. Responsibility
IN NO EVENT SHALL Y PLACE BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT OR CONSEQUENTIAL DAMAGES OF ANY KIND, OR ANY DAMAGES WHATSOEVER (INCLUDING WITHOUT LIMITATION, THOSE RESULTING FROM: (1) RELIANCE ON THE MATERIALS PRESENTED, (2) COSTS OF REPLACEMENT GOODS, (3) LOSS OF USE, DATA OR PROFITS, (4) DELAYS OR BUSINESS INTERRUPTIONS, (5) AND ANY THEORY OF LIABILITY, ARISING OUT OF OR IN CONNECTION WITH THE USE OR PERFORMANCE OF INFORMATION) WHETHER OR NOT Y PLACE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES6. Under no circumstances shall Y PLACE's total cumulative liability to you for any and all claims, damages, or losses exceed the total amount actually paid by you to Y PLACE for the Software license during the twelve (12) months immediately preceding the event giving rise to such claim. If you are using the free LITE version, the maximum liability shall be exactly $0 USD.7. Term and Termination
This Agreement shall remain in effect until terminated by you or Y PLACE. Y PLACE may, in its sole discretion, at any time and for any or no reason, suspend or terminate this Agreement with or without prior notice. This Agreement will terminate immediately, without prior notice from Y PLACE, if you fail to comply with any provision of this Agreement. You may also terminate this Agreement by deleting the Application and all copies thereof from your mobile device or your desktop. Upon termination of this Agreement, you shall cease all use of the Application and delete all copies of the Application from your mobile device or your desktop.8. Severability
If any provision of this Agreement is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.9. Amendments to this Agreement
Y PLACE reserves the right, at its sole discretion, to modify or replace this Agreement at any time. If a revision is material, we will provide at least 30 days' notice before any new terms taking effect. What constitutes a material change will be determined at our sole discretion.10. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the Republic of Korea, without regard to its conflict of law principles.
